Client Service Agreement
Carelistening Transportation & Companion Services LLC
This Client Service Agreement (“Agreement”) is entered into between Carelistening Transportation & Companion Services LLC (“Company”) and the undersigned client or authorized representative (“Client”).
1. Scope of Services
The Company provides non-medical companionship and support services, including but not limited to:
- Companionship and supervision
- Light housekeeping
- Laundry
- Simple meal preparation
- Errands and essential trips
- Appointment accompaniment
- Wellness check-in calls
- Non-emergency transportation support
The Company does NOT provide:
- Nursing services
- Home health aide services
- Personal care (bathing, dressing, toileting, lifting)
- Medication administration or reminders
- Medical advice or healthcare services
2. Service Schedule
Services will be provided based on mutually agreed dates, times, and duration.
3. Payment Terms
- Payment is due before or at the time of service, unless otherwise agreed in writing.
- Accepted payment methods include online payment and cash.
- Mileage, tolls, parking, waiting time, and purchases may be billed separately when applicable.
4. Cancellation Policy
- A minimum of 24-hour notice is required for cancellations.
- Cancellations made with less than 24-hour notice may be charged up to 50% of the scheduled service.
- No-shows may be charged the full service rate.
5. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information
- Maintain a safe and respectful environment
- Inform the Company of any risks, mobility limitations, or special needs
- Ensure accessibility to the home/location
6. Emergency Procedures
- In the event of an emergency, the Company may call 911 and contact the Client's listed emergency contact.
- In emergency situations, the Company may provide reasonable assistance in good faith. Such actions are intended to align with applicable Good Samaritan protections under New Jersey law.
- The Company does not replace emergency or medical services.
7. Transportation Disclaimer
Client acknowledges that:
- Transportation provided is non-medical
- Travel involves inherent risks
- The Company is not liable for incidents beyond reasonable control
8. Limitation of Liability
- To the fullest extent permitted by law, the Company shall not be liable for injuries, damages, or losses not caused by gross negligence or willful misconduct.
- The Client voluntarily assumes all risks associated with services.
9. Independent Contractor Status
Any staff or contractors engaged by the Company are independent contractors and not employees of the Client.
10. Termination
- Either party may terminate this Agreement at any time with written notice.
The Company may immediately suspend or terminate services if:
- The environment is unsafe
- Payment is not made
- Requested services exceed the non-medical scope
11. Entire Agreement
This Agreement represents the full understanding between the parties and supersedes any prior discussions or agreements.
12. Acknowledgment & Consent
By signing below, the Client acknowledges:
- Understanding of all terms
- Acceptance of non-medical service limitations
- Agreement to payment and cancellation policies
- Acceptance of liability terms
13. Liability & Risk Allocation
A. Scope Limitation
Client acknowledges that Carelistening Transportation & Companion Services LLC (“Company”) provides non-medical services only. The Company does not provide nursing, home health aide, personal care (including bathing, dressing, toileting, or lifting), medication administration, or medical advice.
Client agrees not to request or rely upon the Company for services outside this scope.
B. Assumption of Risk
Client understands that companionship, errands, and transportation activities may involve inherent risks, including but not limited to:
- Slips, trips, and falls
- Transportation-related risks
- Environmental hazards within the home or community
Client voluntarily assumes all such risks.
C. Home & Environment Safety
Client is responsible for maintaining a safe environment, including:
- Clear walkways
- Safe flooring conditions
- Proper lighting
- Pet control
The Company may refuse or discontinue services if unsafe conditions are present.
D. Transportation Liability
Client acknowledges that:
- Transportation is non-medical
- Conditions such as traffic, weather, or third-party actions are beyond Company control
The Company is not liable for delays, incidents, or damages not caused by gross negligence or willful misconduct.
E. Third-Party Services
The Company is not responsible for:
- Stores, pharmacies, medical facilities, or other third parties
- Product quality, delays, or errors made by third parties
F. Emergency Assistance & Good Faith Actions
In emergencies, the Company may contact 911 and provide reasonable assistance in good faith. Client agrees that such actions are protected to the fullest extent permitted by applicable law and shall not result in liability except in cases of gross negligence or willful misconduct.
G. Limitation of Liability
To the fullest extent permitted by law, the Company’s total liability shall not exceed the amount paid for services rendered. The Company shall not be liable for:
- Indirect, incidental, or consequential damages
- Pre-existing conditions
- Events beyond reasonable control
H. Indemnification
Client agrees to indemnify and hold harmless the Company from claims arising from:
- Unsafe conditions in the home
- Misuse of services
- Inaccurate or incomplete information provided by Client
I. Right to Refuse Service
The Company reserves the right to refuse or discontinue services if:
- Conditions are unsafe
- Requests exceed non-medical scope
- Payment terms are not met
J. Acknowledgment
By signing, Client confirms understanding and acceptance of all risks and liability limitations outlined above.
